Welcome to AmzExpertly! These Terms of Service ("Terms") govern your access to and use of our platform, services, and applications (collectively, the "Services"). AmzExpertly provides workspace and task management tools, plus a marketplace to find and hire Virtual Assistants. By accessing or using AmzExpertly, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using AmzExpertly, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and AmzExpertly.

2. Eligibility

To use AmzExpertly, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our Services under applicable law
• Not have had your account previously terminated by us for violation of these Terms
• Provide accurate and complete registration information

If you are using our Services on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

3.1 Account Creation

You must create an account to access certain features of our Services. When creating an account, you agree to provide accurate, current, and complete information. You must update this information promptly if it changes.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Using a strong, unique password

3.3 Account Types

AmzExpertly offers two types of accounts:

• Seller Accounts: For Amazon sellers seeking to hire virtual assistants and manage tasks
• VA Accounts: For virtual assistants seeking job opportunities and task assignments

You may only create one account per email address. Creating multiple accounts may result in termination of all your accounts.

4. User Conduct and Prohibited Activities

When using our Services, you agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Post false, misleading, or fraudulent information
• Harass, abuse, threaten, or intimidate other users
• Spam or send unsolicited communications
• Attempt to circumvent security measures or access restrictions
• Scrape, data mine, or use automated systems to access our Services
• Interfere with or disrupt our Services or servers
• Upload viruses, malware, or malicious code
• Impersonate another person or entity
• Sell, transfer, or assign your account without our consent
• Use our Services for any illegal or unauthorized purpose

4.1 Acceptable Use Policy

All content posted on AmzExpertly must:

• Be relevant to Amazon selling and virtual assistance
• Be professional and respectful
• Not contain offensive, discriminatory, or explicit material
• Not promote illegal activities or services
• Not violate any intellectual property rights

4.1.1 Seller-Specific Rules

Amazon Sellers using our platform must:

• Provide accurate task descriptions and requirements
• Treat virtual assistants with respect and professionalism
• Pay agreed-upon rates promptly
• Not request VAs to engage in activities that violate Amazon's Terms of Service
• Provide necessary access and resources for task completion

4.1.2 Virtual Assistant-Specific Rules

Virtual Assistants using our platform must:

• Accurately represent your skills and experience
• Complete tasks as agreed and by deadlines
• Maintain confidentiality of seller information
• Communicate professionally and promptly
• Not share seller account access or credentials with third parties

4.1.3 User Responsibilities

As a user of AmzExpertly, you are responsible for:

• Maintaining the security of your account credentials
• Ensuring all information you provide is accurate and up-to-date
• Complying with all applicable Amazon policies if using Amazon-related features
• Respecting other users' privacy and confidentiality
• Reporting any violations of this Policy to our support team

4.1.4 Enforcement

Violations of this Policy may result in:

• Warning notifications
• Temporary suspension of account
• Permanent termination of account
• Removal of content
• Legal action if necessary

5. Services and Features

5.1 Platform Services

AmzExpertly provides:

• Marketplace for connecting sellers with virtual assistants
• Task management and collaboration tools
• Project workspaces and file sharing
• Amazon-specific tools and integrations
• Community forums and learning resources
• Analytics and reporting features

5.2 Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any part of our Services at any time with or without notice.

6. Free Access to All Features

6.1 Completely Free Platform

AmzExpertly is now completely free for all users. There are no subscription fees, monthly charges, or premium tiers. All users have access to all platform features at no cost, including:

• Unlimited task management and collaboration tools
• Full marketplace access for buyers and sellers
• Project workspaces and file sharing
• Amazon-specific tools and integrations
• Community forums and learning resources
• Analytics and reporting features
• All present and future platform features

6.2 No Payment Required for Platform Access

We do not process any payments for platform access. The platform is provided free of charge to all users. No credit card, payment information, or billing details are required to use AmzExpertly.

6.3 Direct Payments Between Users

What AmzExpertly Does: We provide workspace and task management tools, plus a marketplace. AmzExpertly is completely free and does not process any payments for platform access.

What AmzExpertly Does NOT Do: We do NOT process, hold, facilitate, or mediate job payments between sellers and VAs. Payment arrangements are made entirely between users outside of our platform. We are not responsible for payment disputes, non-payment, or quality of work.

6.5 AmzExpertly is a Neutral Marketplace Platform

It is critical to understand that AmzExpertly does not employ Virtual Assistants or create employment relationships of any kind. We are a neutral marketplace platform that facilitates connections between sellers and VAs. The following clarifies our role:

• No Employment by AmzExpertly: AmzExpertly does not hire, employ, or create any employment or contractor relationship with VAs. VAs are not employees or contractors of AmzExpertly.
• Direct Seller-VA Relationships: All work relationships are created directly between sellers and VAs through mutual agreement outside of our platform. AmzExpertly is not a party to these relationships.
• Independent Negotiations: Sellers and VAs are responsible for negotiating their own terms, compensation, schedules, and work arrangements. AmzExpertly does not dictate, control, or supervise these agreements.
• No Benefits or Taxes: AmzExpertly provides no employment benefits, does not withhold taxes, and issues no employment tax documents (W-2, 1099, etc.). Tax obligations and benefits are entirely between the seller and VA.
• Platform Services Only: AmzExpertly provides only marketplace functionality, task management tools, and communication features. We do not provide jobs, manage work, or enforce work agreements.

6.6 Job Payment Clarification

AmzExpertly does NOT process, hold, facilitate, or mediate job payments between sellers and VAs. Job compensation is negotiated, arranged, and paid directly between parties outside of our platform. Sellers are responsible for:

• Negotiating fair compensation with VAs
• Ensuring all wage and labor laws compliance
• Processing payments through methods agreed upon with VAs
• Maintaining payment records and documentation
• Ensuring proper tax reporting for contractor payments

6.7 User Responsibility for Agreements

Users are solely responsible for negotiating, documenting, and honoring their own work agreements. AmzExpertly is not a party to these agreements and does not guarantee the performance, quality, or timeliness of work. Any disputes regarding work quality, payment, or contract terms must be resolved directly between the parties involved. AmzExpertly will not mediate such disputes or hold funds on behalf of users.

7. Intellectual Property Rights

7.1 Our Content

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are owned by AmzExpertly or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of content you submit to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights.

7.3 Feedback

Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without any obligation to you.

8. User Relationships and Disputes

AmzExpertly is a platform that facilitates connections between sellers and virtual assistants. We are not a party to any agreements between users. You agree that:

• You are solely responsible for your interactions with other users
• We are not responsible for the quality, safety, legality, or reliability of users or their services
• Any disputes between users must be resolved directly between those parties
• We may, but are not obligated to, assist in resolving disputes
• You release us from any claims related to other users or their conduct

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMZEXPERTLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• No Warranty of Merchantability - We do not guarantee the Services are fit for sale or trade
• No Warranty of Fitness for a Particular Purpose - The Services may not meet your specific needs or expectations
• No Warranty of Accuracy - Information provided may be incomplete, inaccurate, or outdated
• No Warranty of Completeness - Features may be incomplete, contain errors, or work differently than intended
• No Warranty of Uninterrupted Service - The Services may be unavailable, interrupted, or suspended without notice
• No Warranty of Security - We do not guarantee protection against unauthorized access, data breaches, or loss
• No Warranty of Non-Infringement - Use of Services may infringe on third-party intellectual property rights

9.2 No Guarantees About Features

You acknowledge and agree that:

• Features, functionality, or tools may be modified, suspended, or discontinued at any time without notice
• We may change, limit, restrict, or remove access to Services or features at our sole discretion
• New features may have bugs, limitations, or unexpected behavior
• Third-party integrations may become unavailable or change functionality
• We are not responsible for any issues arising from feature changes

9.4 User Risk and Responsibility

Your use of the Services is at your sole risk. You assume full responsibility for:

• Determining whether the Services meet your requirements
• Backing up and maintaining copies of your data
• Reviewing and accepting the risks of using the Services
• Any damages, losses, or harm resulting from your use of the Services

9.5 Data Loss and Preservation

We do not guarantee the preservation or security of your data. You acknowledge that:

• Data may be lost due to system errors, hacking, or platform changes
• We are not liable for data loss of any kind
• Upon account termination, your data may be permanently deleted
• You should maintain your own backups of all important data

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMZEXPERTLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Exceptions to Liability Limitations

NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS, NOTHING HEREIN LIMITS OUR LIABILITY FOR:

• Death or Personal Injury: Any liability arising from death or personal injury caused by our services
• Fraud or Deliberate Misrepresentation: Any fraudulent conduct, intentional misstatements, or deliberate deception by AmzExpertly
• Gross Negligence or Willful Misconduct: Liability for our gross negligence, recklessness, or intentional wrongdoing
• Data Breach from Negligence: Our liability for data breaches resulting from our failure to implement reasonable and industry-standard security measures
• Statutory Rights: Any liability that cannot be excluded or limited under applicable consumer protection laws, data protection regulations (including GDPR), or other mandatory legal requirements
• Unauthorized Access: Our liability for unauthorized access to user accounts resulting from our failure to maintain reasonable security controls

These exceptions apply regardless of whether such liability is based on warranty, contract, tort (including negligence), strict liability, or any other legal theory. To the extent applicable law does not permit the exclusion of these liabilities, the liability cap shall not apply to such claims.

10. Indemnification

You agree to indemnify, defend, and hold harmless AmzExpertly, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your interactions with other users

11. Termination

11.1 By You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use our Services ceases immediately.

11.2 By Us

We may suspend or terminate your account and access to our Services:

• For violation of these Terms
• For fraudulent or illegal activity
• If required by law
• For extended periods of inactivity
• At our sole discretion with or without cause

11.3 Effect of Termination

Upon termination, we may delete your account and User Content. Some provisions of these Terms survive termination, including intellectual property rights, disclaimers, and limitations of liability.

12. DMCA and Copyright Infringement

12.1 Copyright Policy

AmzExpertly respects the intellectual property rights of others and expects users to do the same. We have a zero-tolerance policy for copyright infringement and illegal activity.

12.2 DMCA Notices

If you believe that any content on our platform infringes your copyright, you may send a notice of copyright infringement to our Designated Copyright Agent at:

12.3 Notification Requirements

Your notice must include:

• A description of the copyrighted work that has been infringed
• The URL or specific location where the infringing content is located
• Your name, address, phone number, and email address
• A statement that you have a good faith belief that the use is not authorized
• Your physical or electronic signature and a declaration under penalty of perjury
• A statement that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

12.4 Counter-Notification

If you believe content was removed in error, you may submit a counter-notification with the same contact information above. Your counter-notification must include:

• Identification of the removed content
• A statement under penalty of perjury that the removal was in error
• Your signature and contact information

12.5 Policy Enforcement

We take copyright infringement seriously. Users who repeatedly violate copyright laws may have their accounts terminated and may face legal action. We comply with the Digital Millennium Copyright Act (DMCA) and related laws.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution Process

If you have a dispute with us, you agree to first attempt to resolve the dispute informally through the following process:

• Notice of Dispute: Send written notice of your dispute to contact@amzexpertly.com. Include a detailed description of the dispute, the relief sought, and any supporting documentation.
• Response Timeline: AmzExpertly will acknowledge receipt of your dispute within 5 business days and provide an initial response within 15 business days (approximately 3 weeks).
• Resolution Attempt: Both parties will negotiate in good faith to resolve the dispute within 30 days from the date of the initial notice.
• Escalation: If the dispute is not resolved within 30 days, either party may escalate to formal dispute resolution (arbitration or litigation, as applicable).

13.1.1 Required Information for Dispute Notice

Your dispute notice must include:

• Your name and account email address
• A detailed description of the dispute
• The date(s) when the dispute arose
• Specific relief or resolution you are seeking (e.g., refund, account restoration, compensation)
• Documentation supporting your claim (screenshots, emails, transaction records, etc.)
• Your preferred method of contact (email or phone) and availability

13.2 Governing Law

These Terms are governed by the laws of the Republic of North Macedonia, without regard to conflict of law principles.

13.3 Jurisdiction and Venue

Both parties agree that any legal proceedings arising from these Terms or your use of our Services shall be subject to the jurisdiction of the courts of the Republic of North Macedonia, specifically the competent courts in Tetovo or Skopje, depending on the nature of the dispute.

However, either party may pursue binding arbitration as an alternative to litigation. Arbitration will be conducted under the rules of the Macedonian Chamber of Commerce and shall take place remotely or in Tetovo, North Macedonia, at the mutual discretion of both parties.

14. General Provisions

14.1 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use after changes constitutes acceptance of the modified Terms.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

14.4 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on our Services, constitute the entire agreement between you and AmzExpertly.

14.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
